Once you have identified the five issues that matter most, the next challenge is turning those priorities into practical redlines, arguments and negotiation strategies.
This final video of the 3-part training series applies the framework to five recurring SaaS risks: IP ownership and deliverables, indemnities that bypass the liability cap, termination for convenience, broad subscription usage rights and operational conflicts.
Each issue requires more than simply rejecting the customer’s language. You need to understand the customer’s legitimate concern, explain the risk created for the vendor and propose a commercially credible alternative.
That may mean separating bespoke deliverables from the vendor’s platform, keeping first-party claims within the agreed liability structure, connecting termination flexibility to the economics of the subscription, aligning usage rights with the pricing model or ensuring data restrictions reflect how the SaaS actually operates.
The common thread is that these provisions do not create purely legal risk. They affect the vendor’s intellectual property, financial exposure, recurring revenue, product model and operational compliance.
The goal is not to block the deal or accept the customer’s paper blindly. It is to help the business reach a clear, informed and commercially grounded decision.
