I’m David Cohen. With over 20 years of real-world experience in technology law, I mentor and train legal professionals to navigate SaaS and AI contracts with clarity and strategic confidence.

I have spent much of my career as a senior attorney in BigLaw and in leading global technology companies, negotiating complex technology agreements with Fortune 500 enterprises and closing deals worth tens of millions of dollars.

Along the way, I made mistakes. Many of them. I felt out of my depth more than once. AI is not the first technological shift to create uncertainty, and it will not be the last. But I became known as a problem solver, a strong negotiator, and a closer.

Today, I translate that hard-earned experience into practical training so you can avoid years of trial and error.

Who is this MasterClass for?

This MasterClass is designed for attorneys and contract professionals who are already reviewing technology agreements and are now encountering AI features embedded within those agreements. I

If you are negotiating SaaS contracts that reference model training, data usage for improvement and training, foundation model integrations, outputs, bias and hallucination risks or AI governance language, this course is for you.

You do not need a lot of knowledge in technology either. The course is technical enough to matter from a legal perspective. You will understand the difference between training and inference in terms of risk exposure, why weight updates create data leakage risks, and how system architecture influences data usage rights and indemnity positioning.

At the same time, the content remains accessible and focused on contract implications rather than engineering detail.

By the end of the course, you will gain enough technical understanding to understand training, fine-tuning, embeddings, retrieval-augmented generation, inference layers, and shared foundation models in depth, and how they influence contractual negotiations.

In essence, this program is a practical course in AI contract terms. We examine real drafting approaches, analyze common clause structures, explore vendor and customer positioning, and discuss how to navigate negotiation deadlocks. It is about understanding how AI architecture intersects with contract language and how risk is structured in practice across markets.

That said, this program does not replace the need to obtain independent legal advice in your own jurisdiction. You remain responsible for ensuring compliance with applicable local laws, regulations, and professional obligations. There are a lot of free material and free webinars, workshops and other things on AI contracts and terms, mostly by attorneys and law firms.

But their primary aim is to attract clients rather than educate.

And even if you are the target market, the webinars and free materials only provide a tiny portion on whatever topic they are teaching to impress you and get your business. It is not nearly enough to give you the practical knowledge to do the work yourself. They want to do it for you – that is the reason behind the free material!
